1. Agreement to Terms

Welcome to ServeP2E. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ServeP2E ("ServeP2E," "we," "us," or "our") governing your access to and use of the ServeP2E platform, website, services, and applications (collectively, the "Service").

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

IMPORTANT: These Terms contain an arbitration clause and class action waiver that affects your rights. Please read Section 16 carefully.

2. Eligibility

To use ServeP2E, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information
  • Comply with all applicable laws and regulations in your use of the Service

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Service

ServeP2E is an AI-powered platform that enables users to transform service ideas into live API endpoints. Our Service provides:

  • AI-Powered Service Creation: Natural language processing to convert service descriptions into functional, live API endpoints
  • Instant API Deployment: Immediate availability of your API endpoints upon creation
  • API Hosting: Managed infrastructure for hosting your API endpoints
  • Service Management: Dashboard for monitoring, configuring, and managing your deployed services
  • Scalable Infrastructure: Automatic scaling to handle varying traffic loads
  • Analytics and Monitoring: Real-time metrics, logging, and performance monitoring

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account by providing a valid email address and password.

4.2 Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring that your account information is accurate and up to date

4.3 Account Restrictions

You may not:

  • Share your account credentials with others
  • Create multiple accounts to circumvent restrictions or limitations
  • Transfer or sell your account to another party
  • Use another user's account without permission

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service for lawful purposes to:

  • Create and deploy API services for legitimate business or personal use
  • Develop applications and integrations using our platform
  • Test and prototype service implementations
  • Build production-ready API endpoints for your projects

5.2 Prohibited Activities

You agree not to use the Service to:

  • Violate laws: Engage in illegal activities or violate applicable laws and regulations
  • Infringe rights: Violate intellectual property, privacy, or other rights of third parties
  • Harmful content: Create, transmit, or store content that is harmful, offensive, defamatory, or obscene
  • Malicious services: Create services that distribute malware, viruses, or malicious code
  • Unauthorized access: Attempt to gain unauthorized access to our systems or other users' accounts
  • Denial of service: Conduct attacks or activities that disrupt or degrade our Service
  • Data scraping: Use automated tools to scrape or harvest data without permission
  • Spam and abuse: Send unsolicited communications or engage in abusive behavior
  • Cryptocurrency mining: Use our infrastructure for unauthorized cryptocurrency mining
  • Proxy or VPN abuse: Use the Service to circumvent geographic restrictions or hide identity for malicious purposes
  • Reverse engineering: Attempt to reverse engineer, decompile, or extract source code from our Service
  • Resource abuse: Excessively consume system resources or attempt to circumvent rate limits

5.3 Content Restrictions

Services created through ServeP2E must not:

  • Facilitate illegal activities, fraud, or financial crimes
  • Distribute adult content, gambling services, or illegal substances
  • Enable harassment, stalking, or doxxing
  • Violate export control or sanctions regulations
  • Infringe on trademarks, copyrights, or patents

6. Intellectual Property Rights

6.1 ServeP2E Property

The Service, including all software, algorithms, designs, graphics, text, and other content (excluding User Content), is owned by ServeP2E and protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without express written permission.

6.2 User Content Ownership

You retain all ownership rights to the services and API endpoints you create through ServeP2E ("User Content"). By using the Service, you grant ServeP2E a worldwide, non-exclusive, royalty-free license to:

  • Host, store, and transmit your User Content to provide the Service
  • Use your User Content to improve our AI models and platform (in anonymized, aggregated form)
  • Display your User Content in connection with the Service
  • Create backups and derivative works as necessary to provide the Service

This license terminates when you delete your User Content or account, except for content that has been shared with others or is retained for legal purposes.

6.3 AI-Generated Endpoints

API endpoints created by our AI are provided to you for your use. You may use, modify, and integrate these endpoints for any lawful purpose. However, you acknowledge that:

  • Similar prompts may generate similar API functionality for different users
  • We do not guarantee the uniqueness of AI-generated implementations
  • You are responsible for ensuring your services do not infringe third-party rights

6.4 Trademark License

"ServeP2E" and related logos are trademarks of ServeP2E. You may not use our trademarks without prior written consent, except as necessary to describe your use of the Service.

7. Service Fees and Payment

7.1 Pricing

ServeP2E may offer both free and paid service tiers. Pricing for paid services will be displayed on our website and is subject to change with advance notice.

7.2 Payment Terms

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law or stated in our refund policy
  • You are responsible for all applicable taxes
  • Failure to pay fees may result in service suspension or termination

7.3 Usage Limits

Free and paid tiers may have usage limits (e.g., API requests, storage, bandwidth). Exceeding limits may result in additional charges or service degradation. We will provide reasonable notice before charging for excess usage.

7.4 Price Changes

We may modify pricing with at least 30 days' notice. Continued use of the Service after price changes constitutes acceptance of new pricing.

8. Service Level and Availability

8.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. The Service is provided "as is" and may be subject to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency maintenance for security or critical issues
  • Service disruptions due to factors beyond our control

8.2 Support

We provide support through email and documentation. Response times vary based on your service tier and the nature of your inquiry. We do not guarantee specific response times for free tier users.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

  • We do not sell your personal information to third parties

10. User Responsibilities

10.1 Compliance

You are solely responsible for:

  • Compliance with all applicable laws and regulations
  • Obtaining necessary licenses, permits, and approvals for your services
  • Ensuring your services do not violate third-party rights
  • Managing access controls and security for your deployed services

10.2 Service Testing

You are responsible for:

  • Testing your API endpoints before relying on them for production use
  • Ensuring endpoints meet your security and quality standards
  • Monitoring your services for errors or unexpected behavior
  • Maintaining and updating your deployed services as needed

10.3 Backups

While we perform regular backups, you are responsible for maintaining your own backups of critical data and configurations.

11. Third-Party Services

The Service may integrate with or provide access to third-party services, APIs, or content. Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party services and do not endorse or guarantee their functionality, security, or availability.

Third-party services we use include:

  • Cloud infrastructure providers for hosting and deployment
  • Third-party AI models and APIs

12. Disclaimers and Limitations of Liability

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding accuracy, reliability, or completeness of AI-generated services
  • Warranties regarding service availability, uptime, or performance
  • Warranties that the Service will be error-free or secure

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVEP2E SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions, data loss, or security breaches
  • Errors, bugs, or vulnerabilities in AI-generated services
  • Actions or omissions of third-party services

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12.3 Basis of the Bargain

The disclaimers and limitations in this section are fundamental elements of the agreement between you and ServeP2E. We would not provide the Service without these limitations.

13. Indemnification

You agree to indemnify, defend, and hold harmless ServeP2E, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service or violation of these Terms
  • Your User Content or services you deploy through the platform
  • Your violation of applicable laws or third-party rights
  • Your negligence or willful misconduct
  • Any disputes between you and third parties

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

14. Termination

14.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Upon termination:

  • Your access to the Service will be revoked
  • Your deployed services will be deactivated
  • Your data will be deleted within 90 days (unless retention is required by law)
  • You remain responsible for all fees incurred before termination

14.2 Termination by ServeP2E

We may suspend or terminate your account immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is used for fraudulent or illegal activities
  • You fail to pay fees when due
  • Your use poses a security risk or legal liability
  • We are required to do so by law or legal process

We will provide notice of termination when reasonably possible, except in cases of serious violations or legal requirements.

14.3 Effect of Termination

Upon termination, all rights and licenses granted to you will immediately cease. Sections that by their nature should survive termination will remain in effect, including: intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.

15. Changes to Terms

We may modify these Terms at any time. When we make changes, we will:

  • Update the "Last Updated" date at the top of these Terms
  • Provide notice through the Service or via email for material changes
  • Give you the opportunity to review changes before they take effect

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@servep2e.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith for at least 30 days.

16.2 Binding Arbitration

If we cannot resolve a dispute informally, you agree that any dispute, claim, or controversy arising from or related to these Terms or the Service shall be resolved by binding arbitration, rather than in court, except that:

  • You may assert claims in small claims court if they qualify
  • Either party may seek injunctive or equitable relief in court to protect intellectual property rights

Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitrator's decision is final and binding, and judgment may be entered in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY, NOT AS A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. You may not consolidate claims with those of other users or participate in a class action against ServeP2E.

16.4 Location and Costs

Arbitration will take place in Delaware, USA, or another mutually agreed location. Each party will bear its own costs, except that we will reimburse your filing fees if your claim is less than $10,000 and not frivolous.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. To the extent arbitration does not apply, you consent to the exclusive jurisdiction of state and federal courts located in Delaware.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ServeP2E regarding the Service.

18.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.

18.5 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet/telecommunications failures.

18.6 Export Control

The Service may be subject to U.S. export control laws. You agree to comply with all applicable export and import laws and not to export, re-export, or transfer the Service to prohibited countries or individuals.

18.7 U.S. Government Rights

If you are a U.S. government entity, the Service is provided as "Commercial Computer Software" and "Commercial Computer Software Documentation" with restricted rights as defined in applicable federal regulations.

18.8 No Agency

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and ServeP2E.
